Most bulk orders from China are agreed in a chat window and confirmed with one invoice. That works until something goes wrong, and then nobody can point to what was promised. A China supplier contract need not be long or expensive. It must say, before your deposit moves, what you are buying, what it costs, when it arrives, and what happens if it is wrong.

A proforma invoice is a bill, not an agreement

The proforma is where almost every buyer starts. The supplier issues it before production, listing the goods, quantity, unit price, total, payment terms and bank details. It does real work: it fixes price and quantity, names the seller, and dates what was agreed, which is why it sits at the centre of ordinary due diligence before money leaves your account.

What it does not do is describe failure. A proforma is silent on how much variation is acceptable, on what the packaging must look like, and on what you are owed if the cartons arrive in the wrong colour. It is the seller’s document, written to get paid. Everything below is what a China supplier contract adds on top of it.

The 8 terms your China supplier contract must state

  1. Exact product specification. Materials, dimensions, weight, colour references and finish. “Same as the sample” is not a specification, because samples get lost and staff change. Write the numbers down and attach dated photos.
  2. Quantity. Total units and the split across sizes, colours or variants. State whether over or under production is acceptable and by how much, since factories routinely run long or short.
  3. Unit price and currency. Price per unit, the currency, and the Incoterm the price is based on. A price with no Incoterm is not really a price, because nobody can tell whether it covers inland transport, clearance or freight.
  4. Tolerance and acceptable defect rate. Put numbers on both. A tolerance in millimetres and a maximum defect percentage turn quality from argument into measurement.
  5. Packaging and labelling. Inner packaging, master carton size and weight, units per carton, carton markings, barcodes, and any origin or safety labels your market needs. This is where cheap orders get expensive at customs.
  6. Production and shipping timeline. Working days from cleared deposit to production complete, then to handover to your forwarder. Dates, not “about a month”.
  7. Payment terms tied to milestones. Not just the deposit and balance split, but what triggers each stage. “Balance on passing pre-shipment inspection” behaves very differently from “balance before shipping”. Our guide to paying Chinese suppliers covers the methods.
  8. The remedy if the goods are wrong. Choose in advance between remake, refund and discount, say who pays the rework and the freight, and set a deadline for claims after arrival. Buyers skip this and later regret it.

Why an English-only document is weaker than buyers assume

A contract in English feels solid to whoever wrote it. On the other side, the sales contact may read English well while the production manager and owner do not. The people who decide whether your tolerance is respected may never have read your terms.

The counterparty sits in China, and so does any dispute. That is the reality behind every China supplier contract: whatever you signed has to exist in Chinese to be useful to anyone there. Two details matter too: the company name should match the business licence exactly, not the trading name on the website. And a Chinese company’s red chop carries the weight a signature carries elsewhere.
